Individual Data Subject's Rights - Data Access, Portability and Deletion
We are committed to helping our customers meet the data subject rights requirements of GDPR. M Mobile Lab Ltd processes or stores all personal data in fully vetted, DPA compliant vendors. We do store all conversation and personal data for up to 6 years unless your account is deleted. In which case, we dispose of all data in accordance with our Terms of Service and Privacy Policy, but we will not hold it longer than 60 days.
We are aware that if you are working with EU customers, you need to be able to provide them with the ability to access, update, retrieve and remove personal data. We got you! We've been set up as self service from the start and have always given you access to your data and your customers data. Service Level Agreement (SLA)
This Service Level Agreement (SLA) is a documented agreement between M Mobile Lab Ltd (the "Service Provider") and [Customer] (the "Customer") that defines the level of service the Customer should expect, while laying out the metrics by which service is measured, as well as remedies or penalties should agreed-upon service levels not be achieved.
Introduction
M Mobile Lab Ltd ("M Mobile Lab", "we", "us", or "our") provides a range of Information and Communication Technology (ICT) services to its customers. These Terms of Service ("Terms") outline the terms and conditions under which M Mobile Lab provides its services to you ("Customer", "you", or "your"). By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. DEFINITIONS AND KEY TERMS
In these Terms, the following definitions apply:
- "Services" means the ICT services provided by M Mobile Lab, including but not limited to network infrastructure design, implementation, and maintenance, software development, cybersecurity solutions, and technical support.
- "Customer Data" means all data, information, and content provided by the Customer to M Mobile Lab in connection with the Services.
- "Confidential Information" means all confidential and proprietary information disclosed by one party to the other, including but not limited to trade secrets, business strategies, and technical information.
- Company: in the context of this policy, “Company,” “we,” “us,” or “our” refer to M Mobile Lab Ltd, the entity accountable for your information under this Return & Refund Policy.
- Customer: denotes the company, organization, or individual that registers to utilize the M Mobile Lab Ltd Service for managing relationships with consumers or service users.
- Device: any internet-connected device, such as a phone, tablet, computer, or any other tool capable of accessing M Mobile Lab Ltd and its services.
2. SCOPE OF SERVICES
M Mobile Lab undertakes to deliver the Services to the Customer in accordance with the terms specified in the Service Level Agreement (SLA) or as mutually agreed upon in written form. Any modifications or updates to the Services will be communicated to the Customer in a timely manner.
3. CUSTOMER OBLIGATIONS
The Customer agrees to:
- Provide accurate and complete information to M Mobile Lab in connection with the Services.
- Ensure that all Customer Data is accurate, complete, and compliant with applicable laws and regulations.
- Comply with all applicable laws and regulations in connection with the use of the Services.
- Use the Services only for the purpose for which they are intended and in accordance with the terms of this Agreement.
- Not use the Services to engage in any illegal or unauthorized activities, including but not limited to hacking, spamming, or distributing malware.
4. CONFIDENTIALITY
Each party agrees to maintain the confidentiality of the other party's Confidential Information and to use such information only for the purpose of performing its obligations under this Agreement. The parties agree to take all reasonable measures to protect the confidentiality of such information.
5. DATA PRIVACY POLICY
- We will handle your information in compliance with our Privacy Policy. By using our services, you authorize us to utilize your data for the purpose of enhancing and delivering our services.
6. INTELLECTUAL PROPERTY
M Mobile Lab retains all intellectual property rights in and to the Services, including but not limited to software, hardware, and methodologies. The Customer agrees not to reproduce, modify, or distribute any of M Mobile Lab's intellectual property without prior written consent.
7. PAYMENT TERMS
The Customer agrees to remit to M Mobile Lab the fees delineated in the SLA or as otherwise mutually arranged in written form. Payment terms require settlement within 30 days from the invoice date. Failure to adhere to the payment timeline will result in automatic account suspension until all outstanding balances are settled and both parties reach a mutual accord.
Accepted payment methods include bank transfer, credit card, or other methods agreed upon by both parties. Late payments may incur interest charges of 3.5% or suspension of services.
8. WARRANTY DISCLAIMER
M Mobile Lab offers its Services on a basis of "as is" and "as available", without any warranties, whether express or implied. M Mobile Lab explicitly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. LIMITATION OF LIABILITY
In no event will M Mobile Lab Limited be liable for any consequential, indirect, special, punitive, or incidental damages arising from or related to this Agreement, including but not limited to loss of data, business interruption, or loss of profits. M Mobile Lab's liability for damages will be limited to the amount of fees paid by the Customer to M Mobile Lab in the 12 months preceding the event giving rise to the claim.
10. INDEMNIFICATION
The Customer agrees to indemnify and hold harmless M Mobile Lab, its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses arising from or related to the Customer's use of the Services, including but not limited to claims of intellectual property infringement, defamation, or breach of confidentiality.
11. TERMINATION AND OFF-BOARDING
Either party may terminate this Agreement with a written notice of 30 days to the other party. Upon termination, the Customer shall promptly discontinue the use of the Services, and M Mobile Lab will commence the delivery of all Customer Data back to the Customer. Upon conclusion, all outstanding fees must be settled, and the utilization of our services must be discontinued.
Here is an outline of the off-boarding process with the client and service provider:
Initially, the service provider is required to formally notify the client regarding the impending termination, furnishing comprehensive information pertaining to the cessation.
The service provider, M Mobile Lab, must transfer all project documentation, work logs, and any other relevant data to the client. This can be done using secure file transfer methods or cloud-based storage solutions.
The service provider must also transfer all relevant software, hardware, and infrastructure assets to the client. This can be done through a series of handovers, during which the service provider will explain how the assets are configured and function.
The client and service provider must have a final review meeting to confirm that all data, assets, and documentation have been successfully transferred and to ensure that the project closure is complete.
Finally, the client and service provider must complete and sign any necessary legal documentation to finalize the termination process. This may include releasing mutual obligations, ensuring proper rights assignments, and ensuring that any contractual liabilities have been fulfilled.
This termination process ensures a comprehensive understanding between all parties involved, facilitating a seamless transition and minimizing potential disruptions or miscommunications. It also establishes a structured framework for the transfer of project data, assets, and responsibilities to the client, thereby guaranteeing a successful and efficient project closure.
12. GOVERNING LAW
This Agreement will be governed by and construed in accordance with the laws of Jamaica. Any disputes arising from or related to this Agreement will be resolved through binding arbitration in accordance with the rules of the Jamaica International Arbitration Centre Limited (JAIAC).
13. ENTIRE AGREEMENT
This Agreement constitutes the entirety of the understanding between the parties hereto, and it supersedes any and all prior or contemporaneous agreements or arrangements, whether oral or written, relating to the subject matter herein.
14. AMENDMENTS
M Mobile Lab reserves the right to modify or update these Terms at any time without notice. The Customer's continued use of the Services will be deemed acceptance of any changes to these Terms.

Payment Policy
Monthly invoices will be issued for services rendered or to be rendered, with payment due on the designated date of each invoice, unless otherwise agreed on by both parties. Accepted payment methods include bank transfer, credit card, or other methods mutually agreed upon. Clients are responsible for ensuring timely payment.

Invoices that remain unpaid past the specified timeframe may incur a late fee of 3.5%. the will appear on your next bill for clients that are on manage services. Persistent delays of payments in excess of 30 days with alternative arrangements may result in the temporary suspension of services.

This policy outlines the terms and conditions regarding churn procedures in the event of non-payment by clients.
Churn Policy
Churn, or the cancellation of services, may result in the loss of any discounts or promotions that were previously applied to the account. If a customer cancels services, they will be billed for the remaining balance on their account, if applicable.

- The churn process in automatically indicated when an account reaches 30 days past due.
- Before proceeding with account churn, M Mobile Lab will make every effort to contact the client via email and/or phone to remind them of the outstanding payment.
If payment is not received within a reasonable grace period after the initial contact, services may be suspended or terminated.
If a customer wishes to reactivate services after cancellation, they may be subject to reassessment fees, and one month deposit to be held on the account. Re activation will be at the current pricing rates for services.
M Mobile Lab reserves the right to modify or terminate services at any time with or without notice. If services are terminated, the customer will be billed for any remaining balance on their account.
Reactivation Process
- To reinstate a dormant account, customers must clear ALL outstanding payments, including any overdue fees.
- Upon successful payment verification by M Mobile Lab, services will be reinstated within the designated timeframe, usually 1-2 business days.
- Please be advised that a reactivation fee may be imposed, depending on the duration of the inactive period and the contractual terms agreed upon with the client.
Dispute Resolution
Clients who dispute an invoice or have concerns regarding their account should contact M Mobile Lab Limited immediately to resolve the issue.
Disputes will be handled in accordance with the terms outlined in the client's service agreement and applicable laws.
Amendments
M Mobile Lab reserves the right to amend this Payment and Churn Policy at any time without prior notice. Clients will be notified of any changes to the Payment and Churn Policy via email or through other appropriate channels.
General
Governing Law: This Payment and Churn Policy is governed by the laws of Jamaica.
